ثبت شرکت در قانون تجاری پیچیده گی هایی دارد از این رو در لایحه اصلاحی قانون تجارت برای ثبت شرکت با تعداد شرکای کمتر و فعالیتی مجدود و ساده تر چاره ای اندیشیده شده است به نام ثبت شرکت سهامی خاص که ثبت آن ساده تر بوده و به مدت زمان کمتری نیز نیاز دارد. در شرکت سهامی خاص، شرکت بین سه نفر یا بیشتر تشکیل می شود و سرمایه آن به سهام تقسیم خواهد شد.
سرمایه ثبت شرکت سهامی خاص
در ثبت شرکت سهامی خاص حداقل سرمایه در نظر گرفته شده ای که باید توسط موسسین تامین گردد یک میلیون ریال است. همچنین برای تامین سرمایه نیازی به صدور اعلامیه پذیره نویسی برخلاف ثبت شرکت سهامی عام نمی باشد و سرمایه توسط اعضا به تفکیک تامین خواهد گردید.

مدارک ثبت شرکت سهامی خاص
- کپی شناسنامه و کارت ملی کلیه اعضا سهامدار و بازرسین (کپی ها تماما باید برابر اصل باشند)
- عدم سوء پیشینه هیات مدیره و بازرسین
- امضاء کلیه صفحات اساسنامه به همراه اظهارنامه
- فیش واریزی بانکی ۳۵٪ مبلغ سرمایه اعلامی بنام حساب در آستانه ی تاسیس
قابل ذکر است که به درخواست متقاضی تنظیم اساسنامه و شرکتنامه توسط تهران ثبت انجام می گیرد

مدت زمان ثبت شرکت سهامی خاص میانگین بین ۱۵ روز تا ۴۰ روز طول خواهد کشید.

مراحل ثبت شرکت سهامی خاص
مراحل زیر برای ثبت شرکت سهامی خاص به ترتیت باید طی شوند:
- تعیین موضوع فعالیت شرکت
- تعیین اعضای هیأت مدیره شرکت سهامی خاص
- تعیین دو فرد برای سمت بازرسین
- تعیین سمت اعضای هیأت مدیره و دارندگان حق امضاء
- تعیین آدرس محل فعالیت شرکت
- تعیین میزان سرمایه شرکت سهامی خاص و سهم سرمایه ای هر یک از اعضا
- تنظیم مدارک و تحویل به شرکت ثبتی
- معرفی نامه دریافت عدم سوء پیشینه را شرکت ثبتی دریافت نموده و به دفاتر پلیس+ ۱۰ مراجعه کرده و پس از دریافت گواهی سوء پیشینه بعد از یک هفته به شرکت ثبت کننده تحویل نمایید.
- ارجاع مدارک ثبت شرکت سهامی خاص به همراه نام های سه سیلابی به اداره ثبت شرکت ها توسط مجموعه ثبت شرکت
- یکی از نام های تایید شده به مجموعه موکل (ثبت کننده شرکت) اطلاع داده خواهد شد
- تحویل معرفی نامه افتتاح حساب شرکت سهامی خاص به بانک. در این مرحله نماینده با معرفی نامه به بانک مراجعه نموده و حساب را به نام شرکت در آستانه ی تأسیس با نام تأیید شده اداره ثبت شرکت ها افتتاح می نماید که حداقل ۳۵ درصد از سرمایه را می بایست به حساب واریز نماید و پس از آن گواهی واریز از بانک دریافت کرده و به شرکت ثبتی تحویل دهد.
- گواهی بانک به اداره ثبت شرکتها تحویل می گردد و پس از بررسی در صورت عدم وجود ایراد در مدارک تأیید می گردد.
- پس از تأیید, مدارک جهت تایید نهایی و امضا هیأت مدیره به نماینده تحویل می گردد
- مدارک دارای امضای هیات مدیره به همراه سایر مدارک پرونده ثبت شرکت به اداره ثبت شرکتها تحویل داده می شود.
- پس از تایید مدارک شماره ثبت و آگهی تأسیس شرکت سهامی خاص ثبت شده صادر می شود.
- بعد از ثبت شرکت سهامی خاص طی مدت زمانی حدود ۱۵ تا ۳۰ روز , مدرک نهایی ثبت شرکت ( روزنامه رسمی) صادر می گردد.
تفاوت شرکت سهامی خاص و سهامی عام
- در ثبت شرکت سهامی عام حداقل ۵۱ درصد سهام از طریق بورس به مردم واگذار می شود. در واقع شرکتهای سهامی عام تنها شرکتی هستند که در بورس پذیرفته میشوند.
در ثبت شرکت سهامی خاص سهام شرکت متعلق به سهامداران و اعضای هیأت مدیره است که نام آنها در اساسنامه آمده است و افراد دیگر فقط با تنظیم صورت جلسه ورود به شرکت می توانند سهم دریافت نمایند.
- در شرکت سهامی عام به منظور تهیه سرمایه اقدام به پذیره نویسی عمومی میشود اما شرکتهای سهامی خاص اجازه درخواست عمومی را ندارند. همچنینتنها شرکتهای سهامی عام اجازهصدور اوراق قرضه را دارند.
- در شرکتهای سهامی عام نقل و انتقال سهام نیازی به دریافت موافقت افراد سهام دار ندارد اما در شرکت سهامی خاص هرگونه نقل و انتقال سهام وابسته به موافقت موافقت هیات مدیره و مدیران است.
- اعضای هیأت مدیره در شرکتهای سهامی خاص حداقل ۳ نفر اما در شرکت سهامی عام حداقل ۵ هستند.
